Terms of Service

Agreement to Terms

By accessing or using the Rovafi platform ("Platform"), including the mobile application and website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You may not create multiple accounts, impersonate another person, or use a false identity. We reserve the right to suspend or terminate accounts that violate these Terms.

User Content

You retain ownership of the content you post on the Platform. By posting content, you grant Rovafi a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.

You are solely responsible for the content you post. Content must comply with our Content Policy and all applicable laws.

Platform Role & Marketplace

Rovafi is a technology platform that connects vehicle buyers and sellers. Rovafi is NOT an owner, seller, reseller, dealer, broker, or inspector of vehicles. Rovafi is not a party to any transaction between users. We do not inspect, certify, or guarantee the accuracy of listings, the condition of vehicles, or the completion of any transaction.

All transactions are conducted directly between users. Rovafi has no control over and does not guarantee the quality, safety, legality, or accuracy of any listing, the ability of sellers to sell vehicles, or the ability of buyers to pay for vehicles.

• •Sellers are responsible for the accuracy of their listings, including price, condition, mileage, and VIN information.
• •Buyers are responsible for conducting their own due diligence before purchasing any vehicle, including independent inspections and title verification.
• •Rovafi does not provide financing, warranties, inspections, certifications, or insurance for vehicles listed on the Platform.
• •Dealerships must comply with all applicable provincial, state, and federal regulations governing vehicle sales, including but not limited to OMVIC (Ontario) and equivalent regulatory bodies in other jurisdictions.
• •Private sellers must have legal authority and clear title to sell any vehicle they list.

Prohibited Conduct

You agree not to:

• •Violate any applicable law, regulation, or these Terms.
• •Post false, misleading, or fraudulent content or listings.
• •Harass, abuse, or threaten other users.
• •Use the Platform for any unauthorized commercial purpose or spam.
• •Interfere with or disrupt the Platform or its infrastructure.
• •Attempt to gain unauthorized access to other users' accounts or data.
• •Use automated tools to scrape, crawl, or extract data from the Platform.

Intellectual Property

The Platform, including its design, features, and content (excluding user-generated content), is owned by Rovafi and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written permission.

Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. Rovafi disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any vehicle listing is accurate or complete.

Limitation of Liability

To the maximum extent permitted by applicable law, Rovafi and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to any transactions between users, vehicle conditions, listing inaccuracies, or disputes between buyers and sellers.

In no event shall Rovafi's total aggregate liability to you for all claims exceed the greater of (a) the amount you paid to Rovafi in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Rovafi is not liable for any loss, injury, claim, liability, or damage of any kind resulting from any vehicle purchased, sold, or listed through the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless Rovafi, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• •Your use of the Platform or any activity under your account.
• •Any vehicle transaction you participate in through the Platform.
• •Your violation of these Terms or any applicable law or regulation.
• •Any content you post, upload, or share on the Platform, including vehicle listings.
• •Any dispute between you and another user of the Platform.
• •Your violation of any third party's rights, including intellectual property or privacy rights.

Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any disputes arising from these Terms or your use of the Platform.

Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at support@rovafi.com. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue formal legal action as permitted under the Governing Law section above.

For disputes between users (e.g., between buyers and sellers), Rovafi is not a mediator, arbitrator, or party to the dispute. Users are solely responsible for resolving disputes related to vehicle transactions.
